Terms of Service

1. Who accepts these Terms

An adult using Number Ninjas individually accepts these Terms for that adult’s use. A school or district accepts these Terms through an authorized representative or through its agreement with us. A teacher may act for a school only when the teacher has authority from the school or district. Students use Number Ninjas as authorized users under the applicable school, district, parent, or guardian authorization. Students are not required to personally enter into a commercial contract where they lack legal capacity.

2. The educational service

Students may practice math, complete assignments and diagnostics, earn cosmetic rewards, customize a character, and accumulate progress and mastery information. Teachers may connect eligible Google Classroom accounts, select courses, synchronize authorized rosters, create Number Ninjas assignments and Google Classroom coursework, administer diagnostics, and review student and class performance.

3. School authorization and responsibilities

School-connected student processing begins only after the applicable school or district authorization process is completed. Roster/student Google permissions are requested separately after authorization. Number Ninjas remains responsible for its own COPPA and privacy obligations. The school directs the educational use and is responsible for obligations that apply specifically to the school, including determining its authority to disclose education records and managing authorized teacher access. These Terms do not make a school responsible for Number Ninjas’ own COPPA compliance.

4. Accounts and Google Classroom

Users must use only accounts and classes they are authorized to access and protect their sessions. Teachers may connect and manage only courses they are authorized to administer. A teacher is responsible for the content, recipients, due date, and publication state of coursework the teacher directs Number Ninjas to create. Published Classroom coursework remains in Google Classroom until the teacher or school manages it there. Number Ninjas does not currently send calculated grades to Google Classroom. Number Ninjas is not sponsored or endorsed by Google, and Google services are governed by Google’s own terms.

5. Student information and permitted use

Schools, students, and other users retain applicable rights in education records and information they provide. They grant Number Ninjas only the limited rights necessary to host, process, reproduce, and transmit that information to operate, secure, support, maintain, and improve the authorized educational service, consistent with the Privacy Policy and School Student Data Agreement.

Identifiable student personal information will not be used for unrelated product development, advertising, marketing, data brokerage, unrelated profiling, or general-purpose AI or machine-learning training. Appropriately de-identified or aggregate information may be used for service analysis and improvement only where it cannot reasonably identify a student.

6. Acceptable use

Users may not:

• access another person’s account, class, student information, or session without authorization;
• disrupt the service, introduce malicious code, bypass safeguards, or probe for vulnerabilities without written permission;
• scrape, resell, or use the service or student information for advertising, surveillance, data brokerage, or unlawful purposes;
• upload unlawful, infringing, abusive, or inappropriate content; or
• misrepresent identity, school authority, educational results, or affiliation with Number Ninjas.

7. Number Ninjas materials

Number Ninjas software, design, characters, game content, and related materials are owned by us or our licensors. We grant authorized users a limited, revocable, non-exclusive, non-transferable right to use them for personal or authorized educational purposes. Resale, unauthorized redistribution, and reverse engineering are prohibited except where law does not allow the restriction.

8. Privacy and school agreement hierarchy

The Privacy Policy, School Student Data Notice, and School Student Data Agreement explain our student and Google data practices. If a School Student Data Agreement accepted electronically by an authorized representative, or a separately signed state student-data addendum, district data privacy agreement, or other school agreement provides more specific student privacy protections, that agreement controls to the extent of a conflict.

9. Availability and changes

We aim to provide a reliable service but do not promise uninterrupted or error-free availability. We may maintain, change, suspend, or discontinue features. Teachers should not use Number Ninjas as the sole official record for grades, accommodations, formal evaluations, or legally required educational decisions. Cosmetic rewards have no cash value.

10. Suspension, termination, and data

An adult user or school may stop using Number Ninjas, withdraw authorization, use self-service account deletion where available, or request deletion at privacy@yinyang-interactive.com. We or the school may suspend access for security, legal compliance, material breach, loss of authorization, or service discontinuation.

Termination starts the applicable retention and deletion process described in the Privacy Policy and school agreement. Applicable active-system deletion is targeted within 24 hours; backups expire within 35 days. A stopped or deleted student is suppressed from routine roster recreation unless fresh valid authorization permits renewed collection. Teacher account deletion removes encrypted OAuth tokens and attempts to revoke the Google refresh token. Published Google Classroom coursework remains controlled by the teacher or school in Google Classroom.

11. Disclaimers

To the extent permitted by law, Number Ninjas is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Number Ninjas supports instruction but does not replace educator judgment or professional educational, medical, or psychological advice. Nothing in these Terms excludes a warranty or legal right that cannot lawfully be excluded.

12. Limitation of liability

To the extent permitted by law, YinYang Interactive LLC and its suppliers will not be liable for indirect, incidental, special, consequential, or punitive damages, lost profits, or service interruption arising from Number Ninjas. Aggregate liability will not exceed the amount paid for the affected service during the 12 months before the event. These limits do not apply where prohibited or to liability that cannot lawfully be limited.

13. Changes and general terms

We may update these Terms and will provide additional notice or obtain renewed acceptance or authorization where required. Applicable law and school agreements govern without limiting mandatory rights. If one provision is unenforceable, the remainder continues. Failure to enforce a provision is not a waiver.
